Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Argo Group International Holdings, Ltd. (the “Company”) is filing this amendment to its Current Report on Form 8-K filed on February 7, 2020, which reported the appointment of Carol A. McFate to the Company’s Board of Director’s (the “Board”). At the time of Ms. McFate’s appointment, the Board had not appointed Ms. McFate to any of its standing committees.

The Board has appointed Ms. McFate to the Investment Committee and Nominating and Corporate Governance Committee, effective following the Company’s Annual General Meeting on April 16, 2020.
