ITEM 5.02(d) ELECTION OF DIRECTORS
On February 11, 2011, The Procter & Gamble Company (the "Company") issued a news release announcing that Margaret C. Whitman was appointed to the Board of Directors, effective February 8, 2011. Ms. Whitman's committee assignments will be determined at a later date.
The Company is filing this 8-K pursuant to Item 5.02(d), "Election of Directors."
