(1) The sales reported on this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on 08/04/2022.
(2) The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $357.36 to $358.35, inclusive. The reporting person undertakes to provide to S&P Global Inc., any security holder of S&P Global Inc., or the staff of the Security and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in footnote (1) to this Form 4.
(3) The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $358.38 to $359.34, inclusive. (6) As previously reported, the reporting person was granted 12,256 restricted stock units on 03/01/2023, subject to 3-year vesting. The restricted stock units will vest 33% on 12/31/2023, 33% on 12/31/2024 and 34% on 12/31/2025. Vested shares will be delivered to the reporting person no later than January 31 following the respective vesting date.
(7) As previously reported, the reporting person was granted 8,066 restricted stock units on 04/01/2021, subject to 3-year vesting. The restricted stock units vested 33% on 12/31/2021 and 33% on 12/31/2022 and the remaining 34% will vest on 12/31/2023. Vested shares will be delivered to the reporting person no later than January 31 following the respective vesting date.
(8) As previously reported, the reporting person was granted 10,600 restricted stock units on 03/01/2022, subject to 3-year vesting. The restricted stock units vested 33% on 12/31/2022 and will vest 33% on 12/31/2023 and 34% on 12/31/2024. Vested shares will be delivered to the reporting person no later than January 31 following the respective vesting date.
